1. Acceptance of the Agreement

Welcome to Turnexedic. These Terms and Conditions of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Turnexedic (“we,” “us,” or “our”), concerning your access to and use of the Turnexedic video transcoding software, website, and any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto. By accessing our services, you acknowledge that you have read, understood, and agreed to be bound by all of these terms. If you do not agree with all of these terms, then you are expressly prohibited from using the service and must discontinue use immediately.

2. Description of Services

Turnexedic provides a comprehensive suite of software tools designed for high-performance video transcoding, encoding, and media processing. Our services include, but are not limited to, the conversion of video files between various formats, bitrate optimization, resolution scaling, and the integration of metadata. The software is provided as a service (SaaS) or via downloadable client interfaces, depending on the specific subscription tier or license purchased. We reserve the right to modify, enhance, or discontinue any aspect of the transcoding engine or supported codecs at our sole discretion to maintain technical standards and security.

3. User Eligibility and Account Registration

To utilize the full capabilities of Turnexedic, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for any activities or actions under your account. We cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements. Users must be at least 18 years of age to enter into this agreement. If you are registering on behalf of a corporate entity, you represent that you have the legal authority to bind that entity to these terms.

4. Intellectual Property Rights

Unless otherwise indicated, the software, source code, databases, functionality, software designs, audio, video, text, photographs, and graphics on the site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by Turnexedic or licensed to us. The Content and Marks are provided on the site “AS IS” for your information and personal use only. Except as expressly provided in these Terms, no part of the software or site may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

5. Software License and Restrictions

Subject to your compliance with these terms, Turnexedic grants you a non-exclusive, non-transferable, revocable license to access and use the software strictly for your internal business or personal video processing needs. You shall not:

• Attempt to decompile, reverse engineer, disassemble, or derive the source code of the transcoding engine;
• Use the software to process content that violates third-party intellectual property rights;
• Bypass or circumvent any technological measures implemented by us to protect the service;
• Use the service for any automated high-volume processing that exceeds the parameters of your specific subscription plan without prior authorization;
• Sublicense or rent the software to third parties without a specific enterprise partnership agreement.

6. User Content and Data Processing

In the course of using Turnexedic, you may upload video files, scripts, and metadata (“User Content”). You retain all ownership rights to your User Content. However, by uploading content, you grant Turnexedic a limited, worldwide, royalty-free license to process, transcode, and store such content solely for the purpose of providing the service to you. We do not claim ownership over your media. We implement industry-standard security measures to protect your data; however, you acknowledge that no transmission over the internet is 100% secure. We shall retain processed data only for the duration necessary to complete the transcoding task and as defined by your account settings, after which it may be permanently deleted.

7. Fees and Payment Terms

Access to certain features of the Turnexedic software requires payment of fees. You agree to provide a valid payment method and authorize us to charge all applicable fees, including taxes, to that payment method. All fees are non-refundable except as required by law or as explicitly stated in a separate service level agreement. We reserve the right to change our pricing at any time, providing you with notice via the email associated with your account. Continued use of the service after a price change constitutes agreement to the new fees.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SOFTWARE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE TRANSCODED OUTPUT OR THE CONTENT OF ANY WEBSITES LINKED TO THIS SITE. WE ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, OR ANY PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR ACCESS TO AND USE OF OUR SOFTWARE.

9. Limitation of Liability

IN NO EVENT WILL TURNEXEDIC, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

10. Indemnification

You agree to defend, indemnify, and hold Turnexedic harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your User Content; (2) use of the software; (3) breach of these Terms and Conditions; or (4) your violation of the rights of a third party, including but not limited to intellectual property rights.

11. Governing Law and Dispute Resolution

These Terms and Conditions and your use of the service are governed by and construed in accordance with the laws of the jurisdiction in which the company is registered, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located within the primary jurisdiction of our operations, and the parties hereby consent to the personal jurisdiction and venue therein. Any dispute arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. The arbitration shall be conducted in English and the decision of the arbitrator shall be final and binding.

12. Term and Termination

These Terms shall remain in full force and effect while you use the service. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICE TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS. If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party.

13. Modifications to Terms

Turnexedic reserves the right, in its sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. We will alert you about any changes by updating the ‘Last Updated’ date of these Terms. It is your responsibility to periodically review these Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the service after the date such revised Terms are posted.
